CNH Industrial is a Company, organized under the laws of The Netherlands, resulting from a business combination with Fiat Industrial S.p.A. and CNH Global N.V. consummated on September 29, 2013. CNH Industrial qualifies as a Foreign Private Issuer under the applicable rules of the U.S. Securities and Exchange Commission (SEC) and its common shares are listed on the NYSE and on the MTA. CNH Industrial recognizes the importance of sound corporate governance. The Board as a whole has collective responsibility for the strategy of the Company. The Board of Directors is composed of two Executive Directors (i.e., the Chairman of the Company and the Chief Executive Officer), having responsibility for the day-to-day management of the Company, and nine Non-Executive Directors, who have responsibility with respect to the Board’s oversight function. Under Article 16 of the Articles of Association, the general authority to represent CNH Industrial shall be vested in the Board of Directors, as well as in each of the executive Directors to whom the title Chairman of the Company or Chief Executive Officer has been granted. The financial statements of the Company are audited by an external audit firm.
